Mergers, Acquisitions and Poaching

| Schedule | The combined effects of the Legal Services Act, the economic climate and the rationalisation of public funding continue to increase the propensity for consolidation in the legal sector. In this seminar we will explore the opportunities, risks and practical considerations of mergers and other methods of consolidation in the legal sector. The seminar will include specific consideration of:
• Strategic considerations and project management
• Structuring of transactions and future trading arrangements
• Taxation considerations on merger/consolidation and future operating arrangements
• Practical planning matters
As usual during this annual seminar we will also cover the following areas:
• Benchmarking and profitability review - Update on the financial health of the legal sector as a whole over the past year and a benchmarking review of profitability, structure and gearing within law firms.
• Tax Planning update –Review of recent tax changes affecting law firms including mechanisms to mitigate tax liabilities, accessing Entrepreneurs’ Relief, new pension contribution rules and practical tax planning tips.
• Regulatory update – Update on key developments in the financial regulation of law firms.

| Speakers | Andrew Allen BSc (Hons) ACA – Andrew leads the Winter Rule LLP specialist legal sector team which over the last year has advised around 40 law firms on taxation, accounting and strategic issues. Andrew is a national committee member of the ICAEW Solicitors' Special Interest Group that liaises with the Law Society and Solicitors Regulation Authority on matters affecting the legal sector. A well known figure in the legal sector Andrew is a regular presenter to local Law Societies and contributor to legal publications including FD Legal and the LMS Managing for Success. Andrew has experience in advising legal firms on a wide range of commercial matters including mergers, business valuations, benchmarking and profit improvement, risk management, practice development, trading structures and application of accounting standards.
John Endacott BSc (Econ) FCA CTA (Fellow) – John is head of tax at Winter Rule LLP and has experience in advising legal practices on all taxation issues. John is a member of the Personal Tax Committee of the Tax Faculty of the ICAEW and a widely respected tax advisor. In the legal sector John is experienced in advising solicitors and their clients on Income Tax, Capital Gains Tax and Inheritance tax. On a more sector specific nature John has expertise in advising legal firms on tax formation and structure.
